These Terms of Service ("Terms") govern your access to and use of the ADAT software platform and related services (collectively, the "Service") provided by Chase Analytics Corporation ("Chase Analytics," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use the Service.


1. Eligibility and Acceptance

By using the Service, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into a binding agreement. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.


2. User Accounts and Responsibilities

Account Creation and Security: You may need to register for an account to access certain features. You agree to provide accurate, current, and complete information and to maintain the confidentiality of your credentials. You are solely responsible for all activity that occurs under your account.

Prohibited Conduct: You agree not to:

  • Violate any applicable laws or regulations

  • Interfere with the integrity or performance of the Service

  • Transmit malicious software or content

  • Access accounts or data not intended for you

  • Use the Service to infringe upon the intellectual property rights of others

User Content: You retain ownership of any content or data you upload, input, or process via ADAT. You are solely responsible for ensuring that such content is lawful and does not infringe upon third-party rights.


3. Intellectual Property Rights

All intellectual property in the Service, including but not limited to software code, design, graphics, documentation, and logos, is the exclusive property of Chase Analytics or its licensors. The Service is protected by U.S. and international copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, and revocable license to use the Service for your internal business or academic purposes, subject to these Terms. You may not reproduce, modify, distribute, or create derivative works of any part of the Service without our prior written consent.


4. Privacy and Data Protection

Your use of the Service is subject to our Privacy Policy, which explains how we collect, use, and safeguard your personal data. By using ADAT, you consent to our data practices as outlined in the Privacy Policy.

We comply with applicable data protection regulations, including but not limited to the General Data Protection Regulation (GDPR) and the California Consumer Privacy Act (CCPA), to the extent applicable.


5. Payment and Billing

Access to certain features or services may require payment. If you subscribe to a paid plan, you agree to pay the fees specified at the time of purchase. Fees are billed in advance and are non-refundable, unless otherwise stated.

We use secure third-party payment processors and do not store your payment details. You are responsible for keeping your billing information accurate and up-to-date.


6. Service Availability and Support

We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free access. Scheduled maintenance or technical issues may result in temporary downtime.

Technical support is available for users with eligible subscriptions and is provided as described in your service plan or agreement.


7. Disclaimers

The Service is provided on an "as is" and "as available" basis. Chase Analytics disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee the accuracy, completeness, or reliability of any data processed through the Service, and we are not liable for any decisions or actions taken based on such data.


8. Limitation of Liability

To the maximum extent permitted by law, Chase Analytics shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or revenues, whether incurred directly or indirectly.

Our total liability arising out of or relating to these Terms or the use of the Service shall not exceed the amount you paid to us for use of the Service in the twelve (12) months preceding the claim.


9. Indemnification

You agree to indemnify, defend, and hold harmless Chase Analytics, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including legal fees, arising out of or related to:

  • Your use or misuse of the Service

  • Your violation of these Terms

  • Your violation of any third-party rights, including intellectual property or privacy rights


10. Modifications to Terms

We reserve the right to modify or update these Terms at any time. We will provide notice of material changes via email or by posting the updated Terms on our platform. Continued use of the Service after changes become effective constitutes your acceptance of the new Terms.


11. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any disputes shall be resolved through binding arbitration conducted in Delaware under the rules of the American Arbitration Association.

12. Certifications and Legal Compliance

Chase Analytics is a SAM.gov registered entity (UEI: NE6DEF2THD35), with CAGE Code assigned as of May 2025. We operate under the following NAICS codes: 541511, 541512, 541519, 541690, 541715, and 518210.

We are a certified Small Business and eligible for set-aside federal contracting opportunities. Our core technology, the Automated Contextual Analysis Engine (ACAE), is protected under U.S. Patent 63/751,976.
